Terms of Service

1. Agreement

These Terms govern your use of the Gridtiva application (“Gridtiva”, “the App”) for Shopify, operated by Franzsheskoli Carlos Cabrera Toribio, a self-employed business owner established in Spain (“we”, “us”).

By installing or using Gridtiva you accept these Terms. If you do not accept them, do not install the App.

You must also comply with Shopify’s own terms. Nothing here overrides them.

Gridtiva is offered to businesses. It is a tool for operating a Shopify store, and by installing it you confirm you are acting in the course of a trade, business, craft or profession, and not as a consumer. Where mandatory consumer law nevertheless applies to you, it prevails over anything in these Terms that conflicts with it.

Where we process personal data on your behalf, the Data Processing Addendum forms part of these Terms and applies automatically from installation. It does not need to be signed. In matters of personal data protection, the Addendum prevails over these Terms.

2. What Gridtiva does

Gridtiva is an embedded Shopify Admin application for editing existing metaobject entries in a spreadsheet-style grid.

In scope:

• reading your metaobject definitions and entries;
• editing entry values in a grid, including fill-down across a range;
• a mandatory preview of every proposed change before anything is written;
• writing changes to Shopify with an explicit per-write verification;
• a history of verified changes, retained for 30 days;
• undoing a verified change from that history, cell by cell, with explicit confirmation.

Explicitly out of scope. Gridtiva does not create or delete metaobject entries or definitions; does not edit product or variant metafields; offers no CSV or spreadsheet import or export; offers no search-and-replace; offers no scheduling or automation; offers no translation or Shopify Markets features; and has no AI feature.

Editable field types. Gridtiva can edit exactly six metaobject field types: single-line text, multi-line text, integer, decimal, boolean, and date. Fields of any other type are displayed read-only and are never written to.

3. Plans, billing and trial

Reading your data, the change history, and Undo are included in both plans and are never restricted by plan.

The limit counts entries per update, not per month and not per cell. There is no limit on how many updates you may perform.

Gridtiva Paid includes a 14-day free trial, administered entirely by Shopify.

All billing is handled by Shopify. Subscriptions are created, charged, changed and cancelled through Shopify’s own billing system. We never see or handle your payment details. Prices are exclusive of any taxes Shopify may apply.

Refunds and cancellation are governed by Shopify’s billing policies, which apply to this subscription as they do to any Shopify app subscription. You may change or cancel your plan at any time from your Shopify admin.

If your Paid entitlement ends — because you cancel, downgrade, or the subscription lapses — Gridtiva reverts to the Free plan limit for future updates. Nothing is deleted, hidden, or locked: your data, your history and your ability to undo remain available.

We may change our prices. Any change applies from your next billing period and will be reflected on the App’s Shopify listing before it takes effect.

4. Your responsibilities

• You are responsible for the changes you apply. Gridtiva shows you a preview of every proposed change before writing it. Reviewing that preview is your responsibility.
• You are responsible for your own backups. Gridtiva’s 30-day change history exists to make recent changes reviewable and reversible. It is not a backup service, it covers only cells you edited through Gridtiva, and it is deleted after 30 days and on uninstall. Do not rely on it as your only means of recovery.
• You must hold the necessary permissions on the Shopify store on which you install Gridtiva.
• You must not use Gridtiva unlawfully, or to store or transmit unlawful content.

5. Acceptable use

You must not:

• attempt to circumvent the plan limits or the billing system;
• attempt to access another merchant’s data;
• reverse engineer, decompile, or attempt to extract the source of the App, except to the extent that such restriction is prohibited by applicable law;
• use automated means to place unreasonable load on the App or on Shopify through it;
• resell or sublicense access to the App.

We may suspend or terminate access for a material breach of this section.

6. Availability

We aim to keep Gridtiva available, but we do not offer a service-level agreement or a guaranteed uptime. Gridtiva depends on Shopify and on our hosting provider, and may be unavailable during maintenance, outages, or changes made by those platforms.

Gridtiva may be updated at any time. Features may be added, changed, or removed. Where a change materially reduces functionality you rely on, we will note it on gridtiva.com.

7. Intellectual property

Gridtiva, its source code, name, logo and branding remain our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the App on stores you control, for as long as your installation and any applicable subscription remain active.

Your data remains yours. We claim no ownership over your metaobject content.

8. Warranty disclaimer

To the maximum extent permitted by applicable law, Gridtiva is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits any right you have under mandatory consumer or statutory law that cannot lawfully be excluded.

9. Limitation of liability

To the maximum extent permitted by applicable law:

• we are not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profits, revenue, goodwill, or data;
• our total aggregate liability arising out of or relating to Gridtiva is limited to the amount you actually paid us for Gridtiva in the twelve months preceding the event giving rise to the claim. For a merchant on the Free plan, that amount is zero.

Nothing in this section limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited. In particular, and as Spanish law requires, nothing here excludes or limits liability arising from wilful misconduct (dolo): under Article 1102 of the Spanish Civil Code, liability for dolo is enforceable in all obligations and any waiver of the action to enforce it is void. Nor does anything here limit the liability of a controller or processor under Article 82 GDPR.

10. Termination

You may terminate at any time by uninstalling Gridtiva from your Shopify admin.

We may terminate or suspend your access if you materially breach these Terms, or if we discontinue the App. Where we discontinue the App we will give reasonable notice on gridtiva.com.

On uninstall, Gridtiva immediately and permanently deletes your change history, snapshots and sessions. Metaobject entries in your store are not affected: they remain exactly as they were, in your Shopify store, under your control. See the Privacy Policy for the full deletion timetable.

11. Changes to these Terms

We may update these Terms. The “Last updated” date above will change, and material changes will be announced on gridtiva.com. Continued use after a change constitutes acceptance.

12. Governing law and jurisdiction

These Terms are governed by the laws of Spain, without regard to conflict-of-law rules. The courts of Barcelona, Spain, have jurisdiction, save where mandatory law grants you the right to bring proceedings in another forum.

13. General

Severability. If any provision of these Terms is held invalid or unenforceable, it is severed and the remainder continues in force, interpreted so far as possible to give effect to the original intent.

No waiver. A failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition or sale of assets, on notice to you on gridtiva.com.

Events beyond reasonable control. We are not liable for failure or delay caused by events beyond our reasonable control, including outages or changes at Shopify or at our hosting provider.

Entire agreement. These Terms, together with the Data Processing Addendum and the Privacy Policy, are the entire agreement between us regarding Gridtiva, and replace any earlier understanding about it.
